Government and Organisation Buyers
How we work with agencies, schools and organisations that buy on a purchase order or contract.
GV.1Who this covers
This addendum applies to federal, state and local government buyers, public schools and universities, and other organisations that order on a purchase order (PO), contract or government purchase card. It adds to our Terms of Service.
GV.2Purchase orders
1. A PO from a private organisation is accepted when we confirm it in writing or start the work it describes. Accepting it in either way accepts its order details only: the items, quantities, prices, delivery address, PO number and invoicing instructions. Other terms printed on, attached to or linked from it apply only if ISA ABDUR-RABBANI OSHIN agrees to them in writing. A PO or contract from a public buyer is accepted on its own terms, as GV.3 says.
2. Please include the PO number, billing contact, delivery address and any invoicing portal or required documents. We put the PO number on our invoice.
3. The person placing the order confirms they are authorised to commit the buyer.
4. Delivery dates on a PO. For a private organisation, a required delivery date on a PO binds us only when our written confirmation of the PO states it. Otherwise our ready dates are estimates under T.11 of the Terms of Service. For a public buyer, we confirm in writing, before we start, whether we can meet the dates in the PO.
GV.3Order of precedence
If documents conflict, this order applies: (1) laws and regulations that bind a public buyer, and the contract clauses those rules require, in the order of precedence those rules set (for a federal order, the Federal Acquisition Regulation); (2) a contract signed by both parties; (3) the public buyer's purchase order or contract; (4) our quote or order screen; (5) this addendum; (6) our Terms of Service. For a public buyer, our terms only fill gaps. They never add an obligation the buyer's rules do not allow.
GV.4Terms that do not apply to public buyers
For a government agency, public school or public university, the following parts of our terms do not apply unless the buyer's authorised contracting official agrees to them in a signed contract:
- the indemnity (T.25);
- late charges, interest and collection costs, other than those the buyer's prompt payment law provides (Net Account Terms, NA.4);
- automatic renewal (PC.3);
- the choice of Georgia law and courts (T.31), in place of the law and disputes process that govern the buyer;
- changes to our terms after the order is placed (T.32);
- payment before work and deposits (T.5.1 to T.5.3), where the buyer's rules do not allow advance payment;
- acceptance of our terms by clicking or signing an order screen, by someone not authorised to contract for the buyer.
Everything else applies, as far as the buyer's rules allow.
GV.5Federal buyers
For federal orders, the clauses required by the Federal Acquisition Regulation for commercial products and services apply and take priority, including their terms on inspection and acceptance, warranty, termination for the Government's convenience, payment and disputes. Where those clauses give the Government rights our Terms of Service do not, such as the warranty of merchantability and fitness for the purpose described in the contract, rights for latent defects, or cancelling for the Government's convenience, those clauses apply instead of T.19 to T.24. Payment timing and late payment interest follow the Prompt Payment Act. Disputes follow the contract's disputes clause.
GV.6State and local buyers
For state, county, city and school orders, the buyer's procurement rules that are required by law apply and take priority over conflicting parts of our terms.
GV.7Tax exemption
To buy without sales tax, send us a valid exemption certificate before the order is invoiced or paid, so we can remove any sales tax from it.
GV.8Payment
1. Public buyers may pay by government purchase card, on an approved net account, or on the payment terms in an accepted purchase order or contract.
2. For a purchase card, we can send the payment link when your order is ready to ship or collect, so the card is not charged in advance.
3. We can register with invoicing portals on request.
GV.9Confidentiality and publicity
1. We sign a non-disclosure agreement on request.
2. We never show or name work for a government buyer in our portfolio or marketing without written permission.
GV.10Specifications and samples
We make to the specification written on the PO, quote or order screen. Samples and first articles are available at the price quoted, and production follows the approved sample. Variation within T.14 is not a defect unless a tighter specification is written into the order, or GV.5 applies.
GV.11Compliance statements
We certify only what we state in writing on the order or in our business profile. We do not make statements about country of origin, domestic content, security clearances or certifications unless we confirm them in writing for that order.
